Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the Aprenta classroom observation platform (the "Service") operated by Mersoft Corporation ("Company," "we," "us," or "our"), accessible at aprenta.com and app.aprenta.com.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Description of Service

Aprenta is a cloud-based classroom observation platform designed for K-12 school administrators, instructional coaches, and educators. The Service enables users to conduct classroom observations, provide feedback, schedule visits, and manage observation data.

Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Subscription and Payment

Access to the Service is provided on a subscription basis. Subscription plans and pricing are described on our Pricing page.

  • Subscriptions are billed on a monthly or annual basis depending on the plan selected.
  • Payments are due at the beginning of each billing cycle.
  • All fees are non-refundable except as required by law or as explicitly stated in these Terms.
  • We reserve the right to modify pricing with 30 days' advance notice.

Free Trial

We may offer a free trial period for new subscribers. At the end of the free trial, your account will be converted to a paid subscription unless you cancel before the trial ends. You will not be charged during the free trial period.

Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable federal, state, or local law or regulation
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use the Service to transmit any malware, viruses, or malicious code
  • Use the Service to collect or store personal data about other users without their consent
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Resell, sublicense, or distribute the Service without our prior written consent

Your Content

You retain ownership of any content you submit, post, or display on or through the Service ("Your Content"), including observation data, feedback, form configurations, and other materials. By submitting Your Content, you grant us a limited license to store, process, and display it as necessary to operate and provide the Service.

You are responsible for ensuring that Your Content does not violate any applicable laws or third-party rights. We reserve the right to remove any content that violates these Terms.

Data Ownership and Privacy

Your data belongs to you. We act as a data processor on your behalf and will not sell, share, or use your data for purposes unrelated to providing the Service. Our handling of your data is governed by our Privacy Policy.

Upon termination of your account, you may request an export of your data. We will make reasonable efforts to provide your data in a standard format within 30 days of the request.

Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Mersoft Corporation. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without prior written consent.

Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with advance notice when possible. We provide customer support via email at [email protected] and by phone at +1-913-871-6200.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period.

Limitation of Liability

In no event shall Mersoft Corporation, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Kansas, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Kansas.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms.
